ITC has acquired the remaining stake in Sproutlife Foods, the company behind the Yoga Bar brand, for approximately ₹645 crore, taking its ownership in the business to 100%.
The transaction, completed on September 28, 2026, involved the purchase of 13,445 equity shares through a secondary transaction. ITC’s holding has consequently increased from about 47.5% to full ownership, making Sproutlife Foods a wholly owned subsidiary of the diversified conglomerate.
Sproutlife operates in the new and innovative foods segment and manufactures and markets products under the Yoga Bar brand. The company has built a digital-first business model, with a substantial portion of its sales generated through its direct-to-consumer website and major e-commerce platforms.
ITC said the acquisition supports its strategy of strengthening and expanding its future-ready foods portfolio.
The deal was completed entirely through a cash payment and did not require any government or regulatory approvals. ITC also clarified that the transaction does not qualify as a related-party transaction.
The latest acquisition follows ITC’s earlier investment in Sproutlife and gives the company complete ownership of the Yoga Bar business. With the transaction now closed, ITC has consolidated Sproutlife Foods fully within its foods portfolio
